Terms of Service
These Terms of Service ("Terms") govern your use of Vercepta, a software platform operated by Stellar Analytics LLC ("we", "us", "our"). By accessing or using Vercepta, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Use of the Service
a. Eligibility
You must be at least 13 years old to use Vercepta. By using the Service, you confirm that you have the legal capacity to enter into this agreement on behalf of yourself or your organization.
b. Account Registration
To access most features of Vercepta, you must create an account and provide accurate, complete business and contact information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
2. Access and Availability
We strive to ensure continuous access to Vercepta but do not guarantee uninterrupted or error-free service. We may suspend or limit access for maintenance, security, legal compliance, or other reasons without prior notice.
We reserve the right to modify or discontinue features or functionality at any time.
3. User Responsibilities
You agree not to:
- Use Vercepta for unlawful purposes or in violation of applicable laws
- Attempt to reverse engineer, decompile, or misuse any part of the platform
- Interfere with the platform’s operation or security
- Provide false information during onboarding or use
- Scrape or copy data from the platform without permission
4. Data and Content
By using Vercepta, you grant us the right to collect, store, and process your business data, including information you provide directly and data collected from third-party review platforms on your behalf.
You retain ownership of your business data, but you grant us a license to use it internally to provide, improve, and enhance the Service.
We may use anonymized or aggregated data for benchmarking, research, or analytical purposes.
5. Subscriptions and Payment
Vercepta offers free and paid plans. If you purchase a paid subscription:
- Fees are billed in advance on a recurring basis (monthly or annually)
- All payments are final and non-refundable unless otherwise required by law
- We may change pricing at any time with advance notice via email or dashboard alert
Failure to pay may result in suspension or termination of your account.
6. Intellectual Property
All content, trademarks, software, and designs associated with Vercepta are owned by Stellar Analytics LLC or its licensors. You may not copy, distribute, or exploit any part of the Service except as explicitly permitted in writing.
7. Third-Party Services
Vercepta may integrate with or link to third-party services (e.g., review platforms). We do not control and are not responsible for the content or policies of these third parties. Use them at your own risk.
8. Termination
You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms, engage in harmful behavior, or fail to comply with payment obligations.
Upon termination, we may delete your account and associated data unless otherwise required by law or our Privacy Policy.
9. Disclaimers
The Service is provided "as is" and "as available." We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee the accuracy or completeness of review data collected from third-party platforms.
10. Limitation of Liability
To the fullest extent permitted by law, we are not liable for:
- Indirect, incidental, or consequential damages
- Loss of revenue, profits, or data
- Business interruption
- Any damages exceeding the amount paid to us by you in the prior 12 months
This limitation applies regardless of legal theory or the foreseeability of damages.
11. Indemnification
You agree to indemnify and hold harmless Stellar Analytics LLC from any claims, liabilities, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any rights.
12. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or platform notice. Continued use of Vercepta after changes means you accept the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved in state or federal courts located in Delaware.
